Terms of service
The agreement between your agency and Xegents AI for the use of Agency Book. Please read it carefully.
01Acceptance and eligibility
These Terms of Service ("Terms") form a binding agreement between Xegents AI, a company based in Pakistan and the provider of the Agency Book platform ("Agency Book", "we", "us"), and the agency or organization that registers for or uses the service ("Customer", "you").
By creating an account, accessing, or using Agency Book, you agree to these Terms and to the Privacy Policy. Agency Book is a business product. You may use it only for business purposes, and you confirm that you are at least 18 years old and authorized to bind your organization to these Terms. If you do not agree, do not use the service.
02The service
Agency Book is a local SEO platform for marketing agencies. It unifies Google Business Profile, Google Analytics 4, Google Search Console, and rank-tracking data into a single dashboard, provides white-label client portals, monitors profiles, posts authorized review replies, and generates reports and alerts. The specific features available depend on your plan and on the Google integrations you connect.
03Beta status
Agency Book is offered to early agencies as a beta product under active development. Beta access means you run Agency Book before it is publicly available, with priority onboarding and a direct line to shape the roadmap. Features may change, be added, or be removed as we ship. Some capabilities, including automated review replies, depend on Google Business Profile API approval and activate once that approval is granted. The service is provided on an "as is" and "as available" basis during the beta period.
04Accounts and authorized users
You are responsible for the accuracy of your account information, for the activity of your team members and any authorized users, and for keeping credentials secure. You must promptly notify us of any unauthorized use. You are responsible for having the authorization needed to connect each client's Google account, and for ensuring your clients have agreed to your use of Agency Book on their behalf. You must not share or misuse your clients' account credentials, and you must safeguard their security.
05Acceptable use
You agree not to, and not to permit any user to:
- use the service to access data you are not authorized to access;
- violate Google's API Terms of Service, the Google API Services User Data Policy, or Google's Prohibited and restricted content policies, including in any review reply posted through the service;
- automate or trigger review replies, profile edits, or other write actions without the relevant client's prior specific and express consent;
- scrape, resell, or redistribute the service or its data except as the product is designed to allow;
- reverse engineer, interfere with, overload, or attempt to disrupt the service or its security; or
- use the service for any unlawful purpose or in violation of any applicable law.
06Google and third-party services
Agency Book integrates with Google services through Google's official APIs. Your use of those integrations is also subject to Google's own terms, including the Google APIs Terms of Service and the Google API Services User Data Policy. You are responsible for complying with those terms when you connect and use Google accounts. Agency Book's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy. Google is not a party to these Terms and is not responsible for the service.
07Subscription, billing, and renewal
Agency Book is sold on a subscription basis by plan. Plans are billed monthly or annually as you select at checkout. The billing toggle defaults to monthly. An annual plan is billed once for a twelve-month term and is priced at the equivalent of two months free relative to the monthly rate.
- Auto-renewal. Subscriptions renew automatically for successive periods of the same length until cancelled. Monthly plans can be cancelled at any time and stop at the end of the current period. Annual plans renew at the end of the twelve-month term unless cancelled before renewal.
- Cancellation. You can cancel from your account or by contacting us. Cancellation stops future renewals; it does not retroactively refund the current period.
- Refunds. Fees are non-refundable except where required by law. We may offer a pro-rated credit at our discretion.
- Taxes. Fees are exclusive of taxes. You are responsible for any taxes, duties, or levies imposed on the transaction other than taxes on our income.
- Price changes. We may change pricing with advance notice; changes take effect on your next renewal.
08Customer data ownership and license
As between you and Agency Book, you and your clients own your data, including the Google data you connect and the content you create in the service ("Customer Data"). Agency Book claims no ownership of Customer Data.
You grant Agency Book a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the service for you, and to the extent necessary to comply with law. This license ends when the Customer Data is deleted or the agreement terminates, subject to the retention and deletion terms in the Privacy Policy.
09Processor role and Data Processing Agreement
For personal data within Customer Data, you act as the data controller and Agency Book acts as your data processor, processing that data only on your documented instructions to provide the service. Where required by applicable data-protection law, a Data Processing Agreement (DPA) governs this relationship, including the processor obligations under Article 28 of the GDPR and UK GDPR: confidentiality, security, sub-processor conditions, assistance with data-subject requests and breach obligations, deletion or return of personal data at the end of the service, and support for audits. The DPA is incorporated into these Terms by reference and is available on request at admin@agencybook.io.
10Sub-processors
Agency Book uses sub-processors to deliver the service, including Google APIs (Business Profile, Analytics 4, Search Console), Supabase for database and authentication, a cloud hosting and compute provider, and an AI model provider for report commentary. Each sub-processor is bound to data-protection obligations at least equivalent to ours. We maintain a current list and will give notice of material changes to active customers so they can object on reasonable grounds. The current list is described in the Privacy Policy and available on request.
11Intellectual property
Agency Book, including the platform, software, design, and trademarks, is and remains the property of Xegents AI and its licensors. Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable right to access and use the service for your internal business during your subscription. We retain all rights not expressly granted. Any feedback you provide may be used by us without restriction or obligation.
12Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to those who need it and are bound by similar obligations. Confidentiality does not apply to information that is public through no fault of the receiving party, already known, independently developed, or required to be disclosed by law.
13Warranty disclaimer
To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will produce any particular result, including any specific ranking, traffic, or review outcome.
14Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the service, even if advised of the possibility. Our total aggregate liability arising out of or related to these Terms will not exceed the amount you paid to us for the service in the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
15Indemnification
You will defend, indemnify, and hold harmless Agency Book and Xegents AI from and against any third-party claims, damages, and costs (including reasonable legal fees) arising from your use of the service in breach of these Terms or any applicable law, your Customer Data, or your lack of authorization to connect a client's Google account or to act on a client's behalf.
16Term, suspension, and termination
These Terms apply for as long as you use the service. You may terminate by cancelling your subscription and closing your account. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the service in a way that creates legal or security risk, with notice where practicable. On termination, your right to use the service ends, and Customer Data, including connected Google data, is deleted or returned in line with the retention and deletion terms of the Privacy Policy. Sections that by their nature should survive termination will survive.
17Changes to these terms
We may update these Terms as the product and the law evolve. Material changes will be communicated to active customers, and the "Last updated" date at the top of this page will reflect the current version. Your continued use of the service after a change takes effect constitutes acceptance of the updated Terms.
18Governing law and dispute resolution
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws rules. The courts of Lahore, Pakistan have exclusive jurisdiction over any dispute arising out of or related to these Terms or the service, and each party submits to that jurisdiction. Before filing a claim, the parties will attempt in good faith to resolve the dispute through direct negotiation, and may agree to resolve it by binding arbitration seated in Lahore.
